Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the software, websites, and services (collectively, the “Service”) provided by Pistachio AI (“Pistachio”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a contract to use the Service. You are responsible for keeping your account credentials confidential and for all activity under your account. You agree to provide accurate information and to keep it current.

2. Subscription Plans and Billing

The Service is offered on a subscription basis. Plan tiers, pricing, and included limits are described on our pricing page and may be updated from time to time. When you subscribe, you authorize us (and our payment processor) to charge the payment method on file on a recurring basis until you cancel.

  • Monthly plans renew each calendar month.
  • Annual plans are billed upfront for twelve months and renew annually.
  • Additional usage — usage beyond included limits (for example, data credits beyond your plan bundle) is billed as described on the pricing page and in your subscription.
  • Taxes — fees are exclusive of applicable taxes, which you are responsible for unless we state otherwise.

3. Refund Guarantee

We offer a 14-day refund guarantee on your first paid subscription term. If you request a refund within 14 days of your initial payment and you are not satisfied with the Service for any reason, we will refund the fees paid for that initial term, no questions asked. After 14 days, subscription fees are non-refundable except where required by applicable law.

4. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. When you cancel a monthly plan, you will retain access through the end of your current billing period; no further charges will be made. Annual plans do not qualify for pro-rata refunds after the 14-day window except where required by law.

5. Acceptable Use

You agree not to, and not to allow others to:

  • use the Service to violate any applicable law, regulation, or third-party right;
  • use the Service to send unsolicited commercial communications (spam), to conduct unlawful or deceptive outreach, or to harass any individual;
  • upload or process protected health information (PHI), patient records, or any data subject to the Health Insurance Portability and Accountability Act (HIPAA). The Service is not designed for, and you may not use it with, PHI;
  • attempt to reverse-engineer, decompile, or extract the source code of the Service, except to the extent expressly permitted by law;
  • scrape, bulk-download, or redistribute Pistachio-generated outputs to third parties in a way that competes with the Service;
  • attempt to bypass rate limits, usage caps, or any security or access control measure;
  • use the Service to train, fine-tune, or benchmark a machine-learning model that is offered to third parties as a substitute for the Service.

6. Customer Content and Data

As between you and Pistachio, you own the content and data you submit to the Service (your “Customer Content”), including your queries, uploaded lists, saved accounts, and exports. You grant Pistachio a limited, worldwide, non-exclusive license to host, process, and display Customer Content solely to operate, secure, and improve the Service for you.

Pistachio may use de-identified and aggregated usage data for product improvement and analytics. We will not sell Customer Content, and we will not use Customer Content to train foundation models that are offered to other customers or the public.

7. Pistachio Intellectual Property

The Service, including all software, models, workflows, user interfaces, and documentation, is owned by Pistachio and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription term for your internal business purposes.

Pistachio-generated outputs (for example, scored stakeholder profiles or drafted outreach suggestions) are provided for your internal use. You may share outputs within your organization and with your counterparties as part of normal business activity. You may not repackage or resell outputs as a standalone data product.

8. Third-Party Data Sources

The Service aggregates information from public registries, scholarly publications, regulatory filings, and third-party data partners. We make reasonable efforts to source from reputable providers and to cite sources in outputs, but we do not warrant the completeness, accuracy, or currency of any third-party data. You are responsible for verifying facts before relying on them for material decisions.

9. Third-Party Services

The Service may integrate with, or depend on, third-party services such as payment processors, infrastructure providers, AI model providers, and data providers. Your use of such services is subject to their own terms. Pistachio is not responsible for third-party services and disclaims liability to the fullest extent permitted by law.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. PISTACHIO DISCLAIMS ALL WARRANTIES, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PISTACHIO AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO PISTACHIO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will defend, indemnify, and hold harmless Pistachio and its affiliates from any third-party claim arising out of your misuse of the Service, your Customer Content, or your breach of these Terms, to the extent not caused by Pistachio’s gross negligence or willful misconduct.

13. Termination

You may terminate these Terms at any time by cancelling your subscription. We may suspend or terminate your access if you breach these Terms, if required by law, or if your use of the Service presents a risk to Pistachio or other customers. On termination, your right to use the Service ends. Sections that by their nature should survive termination will survive.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to the address on your account or posted in the Service, at least 15 days in advance where practicable. Continued use of the Service after the effective date of a revised version means you accept the update.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any competent court to protect its intellectual property.

16. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign without restriction. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pistachio regarding the Service.
